Dambimangari Aboriginal Corporation (DAC) is seeking expressions of interest for an Independent Director to join the Board of Lailai Holdings Pty Ltd, DAC’s newly established commercial arm.

Lailai Holdings Pty Ltd has been established to pursue commercial opportunities that support economic development, business growth, employment, training and long-term financial sustainability for Dambimangari people.

The Independent Director will join two DAC Board Directors who also sit on the Lailai Holdings Pty Ltd Board, working collaboratively to provide commercial, governance and strategic guidance as the company moves through its establishment and early operational phase.

This is not a position on the DAC Board. The Independent Director will be appointed to the Board of Lailai Holdings Pty Ltd.

• Independent Director fees are proposed at $500 plus GST for full-day meetings, with any approved reasonable expenses reimbursed in accordance with DAC/Lailai Holdings Pty Ltd policy.
• Meetings are held online, on weekdays, approximately every two months.
• An opportunity to help shape a new Aboriginal-owned commercial entity from its establishment phase.

Purpose of the Role

The role is intended to strengthen the Board’s collective skills and decision-making capability, particularly in relation to commercial development, business growth, revenue generation, risk management, governance, and strategic partnerships. The Independent Director will provide independent commercial, governance and strategic advice to support the establishment, growth and long-term sustainability of Lailai Holdings Pty Ltd, supporting:

• Governance & Board capability - strengthen the company’s governance, Board capability and commercial decision-making.
• Start-up oversight - provide independent oversight and advice during the company’s start-up and establishment phase.
• Business planning - assist with the development and implementation of the Formal Draft Business Plan.
• Commercial opportunities - support the identification, assessment and prioritisation of commercial opportunities that align with DAC’s values, strategic direction and revenue objectives.
• Strategic advice - provide advice on business structure, partnerships, risk, revenue generation and long-term sustainability.
• Balanced decision-making - support the Board to make informed decisions that balance commercial outcomes with cultural, community and shareholder priorities.
• Credibility & partnerships - assist Lailai Holdings to establish itself as a credible commercial entity capable of engaging with industry, government and potential commercial partners.

Core Areas of Expertise

The preferred Independent Director should bring strong experience in one or more of the following areas:

• Accounting / Finance / Investment
• Business Development / Social Enterprise
• Governance
• Law & Legal Services
• Risk Management
• Strategy (Strategic / Succession Planning)

About you:

• Demonstrated experience in company governance, commercial strategy or senior business leadership.
• Strong financial literacy and understanding of commercial sustainability, revenue generation and risk.
• Experience supporting business establishment, growth, restructuring or strategic development.
• Ability to provide independent judgement and constructive advice to a Board.
• Demonstrated understanding of governance obligations, director duties and conflict management.
• Ability to work respectfully and effectively with Aboriginal organisations, Traditional Owner Directors and community-controlled governance structures.
• Strong communication skills, including the ability to explain complex commercial matters clearly.

Desirable

• Experience with Aboriginal-owned businesses, Indigenous economic development or Native Title-related commercial entities.
• Experience in sectors relevant to Lailai Holdings’ potential commercial direction, including tourism, contracting, logistics, infrastructure, marine services, cultural enterprise, procurement or resource-sector supply chains.
• Experience with joint ventures, strategic partnerships, managing contractor models or commercial negotiations.
• Experience mentoring emerging directors or supporting Board capability development.
• Membership or affiliation with a recognised governance body such as the Australian Institute of Company Directors.

Eligibility & Independence:

Under the Lailai Holdings Pty Ltd Constitution, to be eligible for appointment as an Independent Director, a person must either not currently be, or have an Associate who is or was at any time in the past two years, a member or director of Dambimangari Aboriginal Corporation, or be considered independent in the reasonable opinion of the majority of the Board. Appointment is subject to an evaluation of the candidate’s business acumen and decision-making capability by an independent assessor chosen by the Shareholder (DAC). Candidates must be able to disclose any actual, potential or perceived conflicts of interest and act objectively in the best interests of Lailai Holdings Pty Ltd.

About Lailai Holdings Pty Ltd:

Lailai Holdings Pty Ltd has been established as the commercial arm of Dambimangari Aboriginal Corporation. The company’s purpose is to support long-term commercial development, generate independent-source revenue, create employment and enterprise opportunities for Dambimangari people, and build sustainable economic outcomes aligned with DAC’s cultural, community and strategic priorities.

Lailai Holdings is currently in its early establishment phase. A Formal Draft Business Plan is being prepared to assist the company to define its commercial direction, governance arrangements, operational structure, revenue opportunities and staged implementation pathway.

About the Dambeemangaddee people:

We are the Traditional Owners of the land and waters along the north-west Kimberley coastline, extending from the Robinson River, just north of Derby to the Prince Regent River in the far north of the Kimberley region in WA. It has been our home for many thousands of years. We carry the cultural responsibilities of our ancestors to look after Country. Our Country is of great conservation significance, home to many threatened and endemic species, mighty rivers, coral reefs, powerful whirlpools, rugged cliffs, sandy beaches, and more than 700 islands. Dambeemangaddee are part of the Wandjina Woongudd community. We all share a unique body of beliefs and cultural practices we maintain strong connections to our land through our Law, Culture, songs and stories.
